Terms of Service

1. Acceptance of Terms

By accessing or using the Allocate Now platform ("Service"), available at allocate-now.com and its associated application, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use the Service.

2. Description of Service

Allocate Now is a cloud-based resource planning and capacity management platform that enables organisations to:

• Manage resource pools (employees, contractors, external consultants)
• Plan and allocate resources to projects
• Track capacity, availability, and utilisation
• Analyse skills, roles, and resource gaps
• Generate financial reports based on allocations

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised use of your account
• Ensuring that your account information remains accurate and up to date

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for more than 12 months.

4. Subscription Plans and Pricing

The Service is offered under the following subscription tiers:

Prices are listed in Euros (EUR) and are exclusive of applicable taxes (VAT). Current pricing is available on our pricing page. We reserve the right to change pricing with 30 days' notice to existing subscribers.

5. Payment and Billing

• Payment processing: All payments are processed securely through Stripe. We do not store your credit card details.
• Billing cycle: Subscriptions are billed monthly or annually in advance, depending on your selected plan.
• Automatic renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• Failed payments: If a payment fails, we will attempt to charge the payment method again. After repeated failures, the subscription may be suspended.
• Invoices: Invoices are generated automatically and available through your Stripe billing portal.

6. Free Trial

New organisations receive a 14-day free trial with up to 5 resources. No credit card is required to start a trial. At the end of the trial period:

• Your account enters read-only mode if you do not subscribe
• Your data is preserved for 30 days after trial expiry
• You may subscribe at any time to restore full access

7. Cancellation and Refunds

• Cancellation: You may cancel your subscription at any time through the Billing page. Access continues until the end of the current billing period.
• Refunds: We do not offer refunds for partial billing periods. Annual subscriptions may be eligible for a pro-rata refund within the first 14 days of the subscription period, at our discretion.
• Data after cancellation: Your data is retained for 30 days after subscription expiry, after which it is permanently deleted.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to other accounts, systems, or networks
• Interfere with or disrupt the Service or its infrastructure
• Upload malicious code, viruses, or harmful data
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without written permission
• Use automated systems (bots, scrapers) to access the Service without authorisation
• Store personal data of individuals without a lawful basis under GDPR

9. Data Ownership and Intellectual Property

• Your data: You retain all rights to the data you upload to the Service. We do not claim ownership of your content.
• Our platform: The Service, including its design, code, features, and documentation, is owned by Allocate Now and protected by intellectual property laws.
• Licence to us: You grant us a limited licence to process your data solely for the purpose of providing the Service.
• Feedback: Any suggestions or feedback you provide may be used by us without obligation to you.

10. Service Availability and SLA

We aim to provide 99.9% uptime for Business and Enterprise plans. However, we do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by:

• Force majeure events (natural disasters, war, pandemics)
• Third-party service outages (AWS, Stripe, internet providers)
• Your own equipment, network, or software failures
• Scheduled maintenance communicated in advance

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" without warranties of any kind, express or implied.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not responsible for decisions made based on data or reports generated by the Service.

12. Indemnification

You agree to indemnify and hold Allocate Now harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service immediately if:

• You breach these Terms
• Your payment is overdue for more than 30 days
• You engage in activities that harm other users or the Service
• Required by law or regulation

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow for export, after which it will be permanently deleted.

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the European Union and the Member State in which Allocate Now is established. Any disputes arising from these Terms shall be resolved in the competent courts of that jurisdiction. Nothing in these Terms affects your statutory rights as a consumer under EU law.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
